Feed Terms of Service

By using a feed (“the feed”) provided by Intervision Software Ltd you (“the recipient”) agree to the following terms:

Feed

A data file generated on behalf of an Advance Agent account holder, containing property data for external syndication.

1. 1. Feed Availability and Termination

   1. a. We reserve the right to terminate, block access to or throttle a feed under the following conditions:
      1. 1.Under the Advance Agent account holders request.
      2. 2.Should the Advance Agent account holder suspend their services with Intervision Software Ltd.
      3. 3.If the feed is being used in a manner that is detrimental to the resources of Intervision Software Ltd, including but not limited to:
         1. a.Inflated bandwidth usage due to inefficient or over eager downloading of property images.
         2. b.Hot-linking property images or other assets directly from Intervision Software Ltd servers.

   2. Limitation of Liability

   1. a.The recipient expressly understands and agrees that Intervision Software Ltd will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, reputation, use, data or other intangible losses resulting from the use or inability to use the feed.
   2. b.In no event shall Intervision Software Ltd or our suppliers be liable for loss of profits or any special, incidental or consequential damages arising out of or in connection with the feed however arising, including negligence. The recipient agrees to indemnify and hold Intervision Software Ltd, its partners, directors, agents and employees harmless from any claim of demand, including reasonable legal fee's, made by any third party due to or arising of your breach of these terms or the documents it incorporates by reference, or your violation of any law or rights of a third party.

   3. Jurisdiction

   1. a.These terms and Intervision Software Ltd shall be governed by and construed in accordance with the laws of England and Wales.
   2. b.The Customer agrees to submit exclusive jurisdiction to the courts of England and Wales and that any legal action has to be carried out in the court of England and Wales.
